Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. You typically use the Service in connection with a home-care agency that has authorized your access.

• You are responsible for the accuracy of the information you provide and for keeping your credentials confidential. Notify us promptly of any unauthorized use.
• Your account, including your caregiver "Mobile ID," is personal to you. Do not share it or let others use it.
• Your access to a particular agency's data depends on that agency authorizing the connection, and the agency may end that connection.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the app on a device you own or control, solely for its intended purpose. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service except as permitted by law.

You agree not to:

• use the Service unlawfully or in violation of HIPAA or other privacy/security laws;
• access data you are not authorized to access, or attempt to defeat security or access controls;
• upload malicious code, or content you have no right to share;
• interfere with or disrupt the integrity or performance of the Service; or
• use the Service to harass, harm, or impersonate others.

• You retain rights to content you submit. You grant us a license to host, process, and transmit that content solely to operate and provide the Service.
• Much of the information handled through the Service is the responsibility of the home-care agency. Where we process protected health information, we do so as a Business Associate under HIPAA on the agency's behalf, governed by our Business Associate Agreement with the agency. You are responsible for using the Service consistently with your agency's policies and your legal obligations.

Our Privacy Policy describes how we handle information. By using the Service you acknowledge it.

The Service, including its software, design, and trademarks, is owned by Align Care Hub and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding.

You obtain the app through the Apple App Store or Google Play, and your use is also subject to those stores' terms. The Apple-specific terms in §15 apply to the iOS version.

The Service is a workflow, compliance, and recordkeeping tool for home-care agencies and their staff. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for professional clinical judgment. Care decisions remain the responsibility of the agency and qualified professionals.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALIGN CARE HUB AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to indemnify and hold harmless Align Care Hub from claims and expenses arising out of your misuse of the Service or violation of these Terms or applicable law, to the extent permitted by law.

You may stop using the Service and delete your account at any time (see the account deletion flow). We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Pennsylvania, unless a different process is required by applicable law.

This section applies to the app obtained from the Apple App Store:

• These Terms are between you and Align Care Hub only, not with Apple. Apple is not responsible for the app or its content.
• The license granted in §3 is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the app.
• To the extent any warranty is not effectively disclaimed, Apple may refund the app purchase price (if any); Apple has no other warranty obligation.
• Apple is not responsible for addressing product-liability, legal/regulatory, or third-party intellectual-property claims relating to the app.
• You represent that you are not located in a U.S.-embargoed country or on a prohibited-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

We may update these Terms. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after an update means you accept the revised Terms.
